1. Acceptance of Terms

By accessing and using the services provided by WGZ LLC ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

WGZ LLC provides professional business solutions including:

• Business consulting and strategic guidance
• Partnership development and management
• Operations management and process optimization
• Other business solutions as mutually agreed upon

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate in good faith with our team and recommendations
• Make timely payments for services rendered
• Comply with all applicable laws and regulations
• Respect intellectual property rights and confidential information

4. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur additional fees. We reserve the right to suspend services for overdue accounts.

5. Confidentiality

We maintain strict confidentiality regarding all client information and business matters. Both parties agree to protect confidential information shared during the course of our business relationship.

6. Intellectual Property

All intellectual property developed by WGZ LLC in the course of providing services remains our property unless otherwise specified in writing. Clients retain ownership of their pre-existing intellectual property and data.

7. Limitation of Liability

To the maximum extent permitted by law, WGZ LLC's liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination, all outstanding payments become immediately due, and both parties must return or destroy confidential information.

9. Governing Law

These Terms of Service are governed by the laws of the State of Delaware, United States. Any disputes will be resolved through binding arbitration in Delaware.

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or other unforeseeable events.

11. Modifications

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to clients with reasonable notice. Continued use of our services constitutes acceptance of modified terms.

12. Severability

If any provision of these Terms of Service is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
